“The General Partner filed form D with 506(b) exclusion and does not have a registered investment advisor. General Partner and Manager are NOT Registered.
“The Partnership and its General Partner are not registered under the Investment Company Act. The Investment Company Act provides certain protection to investors and imposes certain restrictions on registered investment companies (including, for example, limitations on the ability of registered investment companies to in incur leverage), none of which will be applicable to the Partnership. The General Partnership is not registered as a broker-dealer under the U.S. Securities Exchange Act of 1934, as amended (the “Exchange Act”) or with the National Association of Securities Dealers, Inc. (the “NASD”) and is consequently not a subject to the record keeping and specific business practice provisions of the Exchange Act and the rule of the NASD. In addition, neither the General Partner nor the Manager is registered as investment advisors under the Advisors Act, and are consequently not subject to the record keeping, disclosure and other fiduciary obligations specified in the Advisors Act. However, the General Partners and the Manager, if required to do so by applicable law, intend to register as investment advisors under the Advisors Act and do no anticipate that doing so would materially affect the Partnership.”
